Rodney has already kindly pointed you to the docs, which I hope will
help with installation (you shouldn't need to edit ess-site.el).

However, section 2.3 says:

   ESS supports current/recent versions of GNU Emacs and XEmacs.  Most
   notably, the GNU Emacs 22 series and XEmacs 21.4.14 or higher
   (beta/pre-release versions are NOT SUPPORTED).

So, you may find that even if it loads, emacs 20.2.1 is too old to work
(21.1 was release Oct 2001 according to wikipedia), so it really is time
for an update.  Emacs 23.1 works great.
